Terms of Service

1. Acceptance of Terms
By accessing or using Parclio (available at getparclio.com), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you are using Parclio on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the service.
2. Description of Service
Parclio provides county-level property tax reset modeling for commercial real estate underwriting professionals. The service allows users to estimate post-closing property tax obligations based on publicly available county reassessment rules, input deal parameters, and access AI-assisted analysis of tax reset scenarios. Parclio's outputs are underwriting estimates intended to assist professionals in their own analysis — they are not determinations of actual tax liability.
Parclio also provides Deal Analyzer, a feature that lets you upload underwriting documents (such as tax bills, T12s, operating statements, rent rolls, and offering memoranda) and uses AI to extract underwriting fields from them. AI extraction is a convenience to speed data entry — it is AI-assisted and can miss or misread figures. You are responsible for reviewing, correcting, and confirming every extracted value before it is used in any analysis or relied upon for a credit decision. Confirmed values, not raw AI output, drive Parclio's tax reset calculations.
3. Not Legal or Tax Advice — Important Disclaimer
Parclio estimates are based on publicly available county reassessment rules and deterministic modeling. They are underwriting guidance only — not legal advice, tax advice, or a guarantee of future tax liability. Users should verify all estimates with local counsel, a qualified tax consultant, or the relevant county assessor before closing any transaction.
This verification is especially important for: entity-level transfers, partial interest transfers, PILOT agreements, tax abatements, LIHTC and affordable housing restricted properties, homestead and nonprofit exemptions, special assessment districts, or any property with a pending or contested assessment appeal.
No attorney-client relationship is created by use of this service. Parclio is not a law firm, tax advisor, or certified public accountant.
4. Account Responsibilities
- Provide accurate and current information when creating your account.
- Keep your sign-in credentials and magic links secure. You are responsible for all activity under your account.
- Maintain one account per person. Sharing accounts or credentials with others is not permitted.
- Use Parclio for your own professional underwriting work. Reselling access to or outputs from Parclio as a service to third parties is prohibited without a separate written agreement.
- Notify us promptly at support@getparclio.com if you suspect unauthorized access to your account.
5. Subscriptions and Billing
Free plan: Includes 3 Ask Parclio AI questions, 3 full tax reset estimates, and 1 Deal Analyzer document extraction. No payment card is required. County intelligence browsing — rules, reassessment cycles, appeal windows, and confidence ratings — is always free and unlimited.
Document extraction limits: Deal Analyzer AI document extractions are metered by plan — the Free plan includes 1 lifetime extraction, Pro includes 25 per month, and Team includes 100 per month. Uploading and manually reviewing documents is not limited; the meter applies to running AI extraction. Limits may be adjusted over time, with notice for any material reduction to a paid plan.
Paid plans: Pro is $49/month or $490/year. Team is $199/month or $1,990/year. Billed via Stripe. Your subscription begins on the date of purchase and renews automatically until cancelled.
7-day Pro trial: A first-time Pro subscriber may be offered a 7-day trial. A payment card is required to start the trial. The trial provides access to Pro features subject to the stated allowances, with 10 Ask credits, 5 tax estimates, and 2 Deal Analyzer extractions included. If you don't cancel before the trial ends, your card is automatically charged $49 and your subscription continues as a normal monthly Pro plan. You can cancel at any time before the trial ends from the billing portal at no charge.
Cancellation: You may cancel your subscription at any time. Access to paid features continues through the end of your current billing period. We do not offer prorated refunds for partial months.
Pricing changes: We reserve the right to change subscription pricing. We will provide at least 30 days' advance notice of price increases by email.
Taxes: Prices do not include applicable sales taxes. You are responsible for any taxes applicable to your purchases.
6. Acceptable Use
You agree not to use Parclio to:
- Scrape, crawl, or bulk-download county rule data, property data, or any other content from the service through automated means.
- Resell, sublicense, or redistribute Parclio outputs commercially without a separate written agreement with us.
- Present Parclio estimates to regulators, appraisers, or other authorities as an official tax determination or a certified assessment.
- Attempt to reverse-engineer, decompile, or extract Parclio's model logic, rules database, or proprietary algorithms.
- Violate any applicable law or regulation, including securities laws, in connection with your use of the service.
- Introduce malware, conduct denial-of-service attacks, or attempt to gain unauthorized access to any part of the system.
We reserve the right to suspend or terminate accounts that violate these restrictions.
7. Intellectual Property
Parclio's county rules database, model logic, software, user interface, branding, and documentation are proprietary and protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the service for your own professional purposes during the term of your subscription.
Deal data and financial figures you enter into Parclio remain yours. You grant us a limited license to store and process that data to provide the service, as described in our Privacy Policy.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Parclio's aggregate liability to you for any claims arising out of or related to these Terms or your use of the service shall not exceed the fees you paid to Parclio in the three calendar months immediately preceding the event giving rise to the claim.
In no event shall Parclio be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or costs of cover, even if Parclio has been advised of the possibility of such damages. This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).
9. Disclaimer of Warranties
The Parclio service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We make reasonable efforts to keep county reassessment rules current and accurate, but we do not warrant the completeness, accuracy, or timeliness of any specific jurisdiction's data. Tax rules change; county-specific rates vary by parcel. Always confirm rule currency and parcel-level details with the relevant assessor or a qualified professional.
10. Governing Law and Disputes
These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-law provisions. Any disputes arising out of or related to these Terms or your use of Parclio shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.
11. Changes to These Terms
We may update these Terms from time to time. We will notify registered users of material changes by email at least 14 days before the revised Terms take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms. The current effective date is shown at the top of this page.
